Software License Agreement

This Software License Agreement (the "Agreement") is entered into between Legacy Tech Services LLC ("Licensor") and the licensee ("Licensee"):

1. Grant of License:
   Licensor grants Licensee a non-exclusive and non-transferable license to use the software ("Software").

2. Resale Rights:
   Licensee is granted the right to sell copies of the Software to third parties. Licensee shall ensure that each copy of the Software includes proper attribution to the Licensor and prominently displays the Licensor's website address.

3. Restrictions on Modifications:
   Licensee shall not modify or alter the Software in any way without the explicit written permission of the Licensor.

4. No Free Distribution:
   Licensee is prohibited from distributing the Software for free without obtaining express written permission from the Licensor.

5. Intellectual Property Rights:
   a. Copyright: All intellectual property rights related to the Software, including but not limited to copyrights, are and shall remain the exclusive property of the Licensor. The Software is protected by copyright laws and international treaties. Licensee acknowledges that this Agreement does not grant any ownership rights to the Software.
   b. All Rights Reserved: Licensee acknowledges that all rights not expressly granted herein are reserved by the Licensor. Licensee shall not reproduce, distribute, modify, or create derivative works of the Software unless explicitly permitted by the Licensor.

6. Limitation of Liability:
   In no event shall the Licensor be liable for any direct, indirect, incidental, special, or consequential damages arising out of the use or distribution of the Software.

7. Governing Law and Jurisdiction:
   This Agreement shall be governed by and construed in accordance with the laws of the State of Kentucky, United States of America. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts of Kentucky, United States of America.


By installing or using the Software, Licensee agrees to be bound by the terms and conditions of this Agreement.
